Wendy Wolfenbarger Kraby focuses on corporate and business law, as well as real estate development law.

Her corporate practice includes corporate formation and governance matters, mergers and acquisitions, reorganizations, joint ventures, and private securities offerings.

Ms. Kraby often serves as general counsel to businesses handling day-to-day matters including vendor, sales and distribution contracts, employment contracts and non-competes. She has a specialty in working with software and technology companies, including start-ups. Such work often includes financing, private securities offerings, SaaS/IoT contracts, intellectual property issues and nondisclosure agreements.

Ms. Kraby has extensive experience in development law to include acquisition, land use/zoning, infrastructure, lending, title matters, and construction and subcontractor agreements. She has worked with local and national banks regarding issues of bank agreements/participations, regulatory compliance, real estate development and business loans, borrower defaults and foreclosures.

Professional Organizations and Memberships

  • Ms. Kraby is a member of the Georgia Association of Business Brokers, the Doraville Chamber of Commerce and a supporter of the Peachtree Creek Greenway, which is being constructed through Brookhaven, Chamblee and Doraville.
  • She was a longtime Board Member for Reaping Nature Educational Outreach Foundation, Inc., which is currently teaming with Shepherd Center’s Sustainability Committee to make the hospital green/environmentally sound.
  • Ms. Kraby is a Sunday school teacher at Lutheran Church of the Redeemer in Midtown Atlanta.
  • An avid photographer, she volunteers her time for many community events.
  • A former food writer, restaurant reviewer and apprentice of chef Nathalie Dupree, she is often called upon to judge at community food festivals.

Born in Seattle, Washington, Ms. Kraby has lived most of her life in Atlanta, alternating between inside and outside the perimeter. She has been a longtime corporate attorney for many businesses in the North Georgia area. Her practice is as follows:

Corporate: General business representation, buying and selling, contracts (including software, SaaS, non-competes), private investor offerings.

Land Use/Real Estate: Zoning and entitlements, permitting, assemblage of properties, construction contracts, infrastructure, commercial leasing, buying and selling, for both private and government clients.

Banking: representing banks and private equity lenders, complex business closings and commercial foreclosure. Work with business and development clients to structure financing.

A University of Georgia graduate who was the managing editor of the Red & Black student newspaper, Ms. Kraby went on to become a writer and editor in national media in the areas of health, food, and entertainment for before earning her law degree at Georgia State University’s College of Law. At Georgia State Law, Ms. Kraby interned for the U.S. Securities and Exchange Commission, former Judge Penny Brown Reynolds of the Fulton County State Court, and Atlanta Legal Aid Society. She also served as a graduate research assistant in the Philip C. Cook Low Income Taxpayer Clinic and for Professor Colin Crawford in land use and development law.

Prior to joining the firm, Ms. Kraby was an attorney for Miles, Hansford & Tallant, LLC in North Georgia.

  • Represented numerous real estate developers in large-scale, mixed-use (residential/commercial) development in North Georgia including developments in Duluth, Dawsonville, Johns Creek and off Ga. 400 in Forsyth and Dawson Counties.
  • Handled the legal matters, including recovery, foreclosure and bank participations and regulatory compliance for multiple North Georgia community banks.
  • Long-term representation of software company through its incubation, growth, expansion, acquisitions, joint ventures and later sale to international company.
  • Assisted in formation and serve as general counsel to several non-profits including Literacy Network of North Georgia, Inc.
